Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and KeyBlock Tech, LLC ("KeyBlock," "we," "us," or "our") governing your use of the KeyBlock mobile application, the website keyblock.app, and all related services (together, the "Services"). By creating an account, making a purchase, or using our Services in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

IMPORTANT: These Terms contain an arbitration agreement and class action waiver in Section 13. Please read them carefully, as they affect your legal rights.

1. Eligibility

You must be at least 13 years of age (or 16 in the EEA/UK) to use our Services. If you are between 13 and 17, you may use the Services only with verifiable consent from a parent or guardian who accepts these Terms on your behalf. By using our Services, you represent and warrant that you meet this age requirement, that you have legal capacity to enter this agreement, and that your information is accurate.

2. Account registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information during registration and to keep it updated. Notify us immediately at support@keyblock.app if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

3. Products and services

KeyBlock is a digital wellness system combining physical NFC stickers with a companion mobile application designed to help users reduce smartphone distractions. The system operates through proximity-based NFC (Near Field Communication) interaction to create a physical barrier between users and distracting applications.

Hardware. KeyBlock NFC stickers are compact adhesive stickers containing embedded NFC chips. The stickers are designed to be placed in fixed locations chosen by the user (such as a desk, nightstand, or journal), creating a physical requirement for users to be present at that location to modify their app-blocking state. The stickers require no batteries — they are powered by the NFC signal from your phone when tapped.

Software. The KeyBlock iOS application serves as the control interface. Through the app, users can select which applications and websites to block, configure multiple blocking modes for different activities (Deep Work, Sleep, Family Time, Gym, and custom modes), monitor usage statistics and activity history, and access the Discover page featuring curated wellness and productivity tools from partner brands.

Core functionality. The system operates through a tap-to-activate process: users tap their phone against a KeyBlock sticker to activate blocking, which prevents access to pre-selected applications. To restore access, users must physically return to the sticker location and tap again. An emergency unblock feature is available through a guided 90-second box breathing exercise, ensuring unblocking is always intentional rather than impulsive.

Sticker exclusivity. The Services are designed to work exclusively with official KeyBlock NFC stickers. The app validates the sticker identity during each tap interaction.

KeyBlock NFC stickers are sold separately through keyblock.app and Amazon.com. The KeyBlock app is free to download with no subscription fees.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. Beta or experimental features may be offered "as is" and withdrawn without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4. Purchases, pricing, and payments

All prices are listed in US dollars and are subject to change without prior notice. Price changes do not affect orders already confirmed. Applicable taxes and shipping charges are calculated at checkout.

Payment processing is handled by Shopify Payments (powered by Stripe) for orders placed on keyblock.app, and by Amazon Payments for orders placed on Amazon.com. By placing an order, you represent that you are authorized to use the payment method provided. Failed payments may result in cancellation after notice. International orders may incur duties or fees that are your responsibility.

5. Shipping, returns, and refunds

We currently ship within the United States. Estimated delivery times are not guaranteed. Risk of loss passes to you upon delivery to the shipping carrier.

We offer a 30-day money-back guarantee from the date of delivery. If you are not satisfied with your purchase, contact support@keyblock.app with your order number within 30 days of delivery. Refunds are processed to the original payment method within 5–10 business days. We reserve the right to refuse refunds for abuse of the return policy.

Manufacturer guarantee. We stand behind the quality of our KeyBlock stickers. If a sticker stops functioning due to a manufacturing defect during normal use, we will replace it at no charge. Contact support@keyblock.app with a description of the issue. This guarantee covers defects in materials and workmanship but does not cover damage from misuse, abuse, or modification.

If you are a consumer in the EU, EEA, or UK, you may have a statutory withdrawal period for distance sales; exercise any such right as required by applicable law and our instructions.

6. License and app usage

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the KeyBlock app on your personal mobile device solely for its intended purpose. This license does not include the right to:

• Modify, reverse-engineer, decompile, or disassemble the app or any part of it, except where law forbids such a restriction
• Distribute, sublicense, lease, or rent the app to any third party
• Use the app to develop competing products or services
• Circumvent, disable, or interfere with any security or access-control features of the app
• Use automated scripts, bots, or scrapers to access or interact with the Services
• Attempt to use the Services with any NFC device other than an official KeyBlock sticker

Downloads from the Apple App Store are also subject to Apple's terms. Apple is a third-party beneficiary of the license portions of these Terms as required by Apple's rules. We may provide automatic updates. You are responsible for data charges. Open-source or third-party components may be governed by separate licenses.

7. User data and consent

By creating an account and using our Services, you acknowledge and agree that:

• We may collect, process, and use your information as described in our Privacy Policy
• We may send you marketing communications, including emails about KeyBlock products, features, tips, and offers from us and our trusted partners, and you may opt out at any time via the unsubscribe mechanism in each email
• We may share your information with trusted partners and advertising platforms as described in our Privacy Policy
• We may use your information to create aggregated, de-identified, or anonymized data sets, and such data may be used and shared for any purpose without restriction
• We may display advertising, sponsored content, and personalized partner recommendations within the Services

You may exercise your data rights as described in our Privacy Policy. Certain data rights and opt-out mechanisms are available regardless of your jurisdiction.

8. Intellectual property

All content, software, designs, logos, trademarks, trade dress, and other materials associated with KeyBlock and our Services are the exclusive property of KeyBlock Tech, LLC and are protected by applicable intellectual property laws. You may not use, reproduce, modify, or distribute any of our intellectual property without our prior written consent.

Feedback you provide may be used without restriction or compensation. You represent you have rights in any content you submit.

9. Third-party links and partners

Our Services include the Discover page and other features containing links to third-party websites, products, and services. These links are provided for your convenience and may include affiliate links from which we earn commissions. We are not responsible for the content, accuracy, policies, or practices of any third-party website or service. Your interactions with third-party services are governed by their respective terms and privacy policies.

10. Disclaimer of warranties

OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR GUARANTEE ANY SPECIFIC REDUCTION IN SCREEN TIME, IMPROVEMENT IN FOCUS, OR ANY OTHER OUTCOME FROM USING OUR PRODUCTS. Nothing here limits non-waivable statutory rights.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KEYBLOCK TECH, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS ($50.00), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

12. Indemnification

To the extent permitted by law (and not for UK/EU/EEA consumers where barred), you agree to indemnify, defend, and hold harmless KeyBlock Tech, LLC from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or information you provide to us, except to the extent caused by our gross negligence or willful misconduct.

13. Dispute resolution and arbitration

Informal resolution first. Before initiating any formal dispute resolution, you agree to contact us at support@keyblock.app and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, in the English language, and the seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. YOU AND KEYBLOCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Small claims exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limit. Either party may seek injunctive relief in court for intellectual property or urgent harm.

Opt-out right. You may opt out of this arbitration agreement by sending written notice to support@keyblock.app within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Wilmington, Delaware.

Mass filing procedures. If 25 or more claimants submit pre-arbitration notices or seek to file arbitration demands raising substantially similar claims, and are represented by the same or coordinated counsel, the following staged procedures apply: (a) Stage One — counsel for each side shall select 10 claims (20 total) to proceed in individual arbitrations with different arbitrators; (b) Stage Two — after Stage One completion, remaining parties must engage in a single global mediation of all remaining claims with a retired federal or state court judge; (c) Stage Three — if mediation fails to resolve remaining claims within 60 days, the arbitration requirement shall no longer apply to unresolved claims, which may proceed in court individually or as consolidated actions. The statute of limitations and any filing fee deadlines shall be tolled from the date the first cases are selected for Stage One until the date that a claimant's claim is selected for a Stage One arbitration, is settled during the mediation, or is permitted to proceed in court under Stage Three.

Confidentiality. Upon either party's request, the arbitrator will issue an order requiring that confidential information disclosed during arbitration may not be used or disclosed except in connection with the arbitration or enforcement proceedings.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your license to use the app immediately ceases. Sections 7 through 13, 16, and 17 shall survive termination.

15. Export controls

You must comply with applicable export and sanctions laws. You may not export or transfer the Services to prohibited countries, entities, or persons.

16. Privacy and communications

Our Privacy Policy explains how we handle personal information. By using the Services, you agree to electronic notices and service-related communications at the email on your account. Marketing messages are optional; use unsubscribe links or contact us to opt out.

17. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions, except where mandatory consumer laws of your country apply. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.

18. Changes to these terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Services at least 7 days before the changes take effect. Your continued use of our Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and delete your account.

19. General provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and KeyBlock regarding your use of the Services and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
